The parties can upload a Memorandum of Understanding that will govern the discussions. Or they can skip this step and get right to bidding.
Each party has 48 hours to submit its first Backchannel Bid (confidential offer or demand). Once both parties have submitted a Bid, Backchannel will check for a match without revealing the Bids to the other side.
If there is a match, congratulations! You have a deal. If not, Backchannel proceeds to Live Bidding.
If the first Bids don’t match, the parties have 28 days to adjust their Bids. Backchannel will check for a match with each change without revealing the Bids.
When a match is made the session ends immediately and the deal amount and terms are sent to the parties.
Backchannel can provide a Smart Proposal, akin to a mediator’s proposal, to bridge any gap that remains between the parties.
COMPROMISE IS CLOSER THAN YOU THINK.
Parties’ real numbers are usually closer than they think. For example, one side might know of a key weakness in its case that is unknown to the other side for now. Or, a side might have an unrelated business consideration that weighs in favor of settlement. Backchannel lets you liaise with your opponent on what matters—the number it will take to settle—without divulging these sensitive confidences.
